Terms of Service

1. Agreement
By accessing or using fencepencil.com and purchasing our products or services, you agree to be bound by these terms. If you do not agree, please do not use our site or services.
2. Services
FencePencil provides custom software development, managed hosting, GRC compliance, workflow orchestration, and digital products platform services. Service engagements are governed by separate statements of work (SOW) agreed upon between FencePencil and the client.
3. Subscriptions
Platform subscriptions (managed hosting, GRC, workflows) are billed monthly in advance and renew automatically unless cancelled. Customers may upgrade, downgrade, or cancel at any time; proration is applied for mid-cycle changes. Refunds are handled on a case-by-case basis and described in the SOW or order form.
4. Intellectual Property
For service engagements, all code, documentation, and infrastructure produced during the engagement is owned by the client upon final payment, unless otherwise specified in the SOW. FencePencil retains the right to use general knowledge, techniques, and non-proprietary patterns developed during engagement.
5. Payment
Product purchases are processed through Stripe. Service invoices are due within 15 days of receipt unless otherwise agreed. Late payments may incur a 1.5% monthly interest charge.
6. Limitation of Liability
FencePencil's total liability for any claim arising from our services or products shall not exceed the amount paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
7. Warranty Disclaimer
Products and services are provided "as is" without warranty of any kind. While we strive for production-quality code, software may contain bugs. We offer post-launch support as part of our service engagements.
8. Governing Law
These terms shall be governed by the laws of the State of Minnesota, without regard to conflict of law provisions.
9. Changes
We reserve the right to update these terms at any time. Continued use of our site or services after changes constitutes acceptance of the new terms.
